
UAE AFRICAN BUSINESS COLLABORATIONS (UABC)
CONSTITUTION & CODE OF CONDUCT FOR:
(EXECUTIVE & CORE GROUP)
1. Preamble
This Constitution sets out the governance framework, operational structure, financial guidelines, and code of conduct for the Executive (EXCO) and Core Group of UAE African Business Collaborations (UABC). It is designed to ensure accountability, discipline, and strategic leadership in advancing the objectives of the community.
2. Ownership & Authority
- UABC is founded and solely owned by Seun Ashimolowo, who remains the Founder and President with 100% ownership.
- The President holds supreme leadership authority over all matters relating to UABC.
- The governance structure reflects a central leadership system, aligned with the operational environment of the UAE.
3. Appointment & Tenure
- All Executive (EXCO) and Core Group members shall be appointed by the President.
- Appointments are reviewed annually and may be renewed based on performance and commitment.
- Serving in any leadership capacity is a privilege, not a right, and does not confer ownership or equal authority with the Founder.
4. Termination & Disciplinary Action
The President reserves the right to suspend or terminate any appointment without prior notice on the grounds of:
- Disloyalty
- Misconduct or unethical behavior
- Violation of UABC rules or policies
- Misrepresentation or misleading of EXCO, Core Group, or members
- Inactivity or failure to perform assigned responsibilities
Such decisions shall be final and binding.
5. Structure & Roles
5.1 Executive Committee (EXCO)
- Comprises selected individuals working directly with the President in a management capacity.
- Responsible for decision-making, planning, organizing programs/events, and driving the growth of UABC.
5.2 Core Group
- Comprises Heads of Sectors (HODs).
- Responsible for identifying and presenting sector-specific challenges, opportunities, and insights to the management.
6. Meetings & Attendance
- EXCO Meetings: Twice weekly (virtual or physical)
- Core Group Meetings: Once weekly (virtual or physical)
Attendance Policy:
- Members must notify the President before or on the meeting date if unable to attend.
- Failure to do so shall result in a formal query.
- Absence from three (3) consecutive meetings without valid reason shall result in suspension (on hold) pending clearance by the President.
7. Presiding Authority
- All meetings shall be presided over by the President.
- In the President’s absence, the General Secretary or Vice President shall preside.
- All training programs shall be led by the President unless delegated.
8. Decision-Making & Voting
- All decisions may be subject to voting where necessary.
- The President’s vote shall serve as the final and decisive authority, irrespective of majority or minority positions.
9. Financial Policy & Revenue Structure
9.1 Training Revenue
- UABC shall receive 40% of profits from all training conducted by external facilitators.
- All business management consulting and related services shall be executed through the Office of the President.
- From such services, 10% of profits shall be allocated to UABC.
9.2 Community Funds
- All revenue shall be paid into the official UABC community account.
- Funds shall be used for meetings, logistics, programs, and operational expenses.
9.3 President Entitlement
- The President shall receive a monthly stipend (royalty) in recognition of vision, leadership, and full-time commitment.
9.4 Account Governance
- The account shall have two (2) signatories:
- The President (Principal Signatory)
- Any one of two (2) EXCO members appointed by the President
- The Community Accountant shall present monthly financial reports to EXCO.
10. Membership Requirement
- All members, including EXCO and Core Group, must be registered under the Professional Tier.
11. Benefits – Executive (EXCO)
Confirmed EXCO members shall receive:
- Free upgrade to Investor & Partnership Tier
- Priority access to business support and funding opportunities
- 50% subsidy on marketing and visibility
- Inclusion in strategic meetings and leadership decisions
- Recognition as part of the management structure of UABC
12. Benefits – Core Group
Core Group members shall receive:
- Appointment as Head of Sector (HOD)
- Monthly engagement with EXCO
- Priority opportunities within their sector
- 50% subsidy on marketing and visibility
- Participation in UABC programs and initiatives
13. Rewards & Compensation
- EXCO and Core Group members shall receive annual cash appreciation (contribution rewards) during the UABC Annual Convention (December).
- Members who provide financial support to UABC may be reimbursed or recognized accordingly.
14. Code of Conduct
All EXCO and Core Group members shall:
- Demonstrate integrity, loyalty, and professionalism
- Promote unity, cooperation, and mutual respect
- Act with selflessness, commitment, and accountability
- Uphold and protect the reputation and interests of UABC
15. Legal Standing & Liability Clause
- This Constitution serves as a binding governance document for all appointed members.
- UABC reserves the right to enforce disciplinary measures in accordance with this document.
- Members shall not act in a manner that exposes UABC to legal, financial, or reputational risk.
- UABC shall not be held liable for personal business dealings of members outside officially sanctioned activities.
16. Amendment & Residual Authority
- Any matter not expressly covered in this Constitution shall be determined and implemented by the President.
- The President reserves the right to amend, update, or expand this Constitution at any time.
17. Acceptance & Binding Agreement
- Acceptance of appointment, signing of an appointment letter, or participation in official EXCO/Core Group platforms (including WhatsApp groups) constitutes full agreement and binding acceptance of this Constitution and Code of Conduct.
18. Final Declaration
Serving in UABC leadership is a privileged position of trust and responsibility, offering an opportunity to contribute meaningfully to the growth of African businesses in the UAE while elevating personal and professional standing.
