UABC Strategic Membership & Corporate Partnership

Terms and Conditions

These Terms and Conditions govern the relationship between UABC (UAE African Business Collaborations) and all Strategic Members, Corporate Partners, Investors, Institutions, Sponsors, and affiliated organizations participating within the UABC ecosystem.

By registering or partnering with UABC, all partners agree to comply with the following terms and conditions.


1. Purpose of Partnership

The purpose of the partnership is to promote collaboration, business growth, entrepreneurship development, SME support, networking, investment opportunities, and community impact within the African business ecosystem in the UAE.


2. Nature of Relationship

Partnership with UABC does not constitute:

  • Legal joint venture
  • Shareholding agreement
  • Employment relationship
  • Agency relationship
  • Financial guarantee or obligation

unless otherwise stated in a separate written agreement signed by both parties.


3. Membership & Partnership Approval

UABC reserves the right to:

  • Approve or decline any partnership application
  • Verify submitted information and documents
  • Suspend or terminate membership or partnership where necessary

Approval is based on alignment with UABC’s vision, values, and professional standards.


4. Partner Responsibilities

All Strategic Members and Corporate Partners agree to:

  • Conduct business ethically and professionally
  • Comply with UAE laws and regulations
  • Maintain professional conduct within the community
  • Avoid activities that may damage the reputation of UABC
  • Provide accurate and truthful information

5. Community Approval for Member Dealings

All business dealings, transactions, collaborations, referrals, or engagements between Strategic Members, Corporate Partners, and UABC registered members should be processed through or accompanied by an official approval, referral, or introduction note issued by UABC.

UABC shall not be responsible for risks, disputes, losses, or misunderstandings arising from direct dealings conducted with registered members outside the knowledge, approval, or official engagement process of the community.

Partners engaging with UABC members without official community approval do so at their own discretion and risk.


6. Discounted Services for UABC Members

All approved partners and strategic members providing products or services to UABC registered members shall offer agreed discounts, reductions, special rates, or partnership benefits as outlined within the signed Memorandum of Understanding (MOU) or partnership agreement with UABC.

Such partnership benefits are intended to support affordability, accessibility, and business growth within the community ecosystem.


7. Business Opportunities & Referrals

UABC may provide access to:

  • Networking opportunities
  • Business referrals
  • Collaboration opportunities
  • Investment and partnership discussions

However:

  • UABC does not guarantee business deals, contracts, funding, or profits
  • All business transactions remain the responsibility of the involved parties

Partners are advised to conduct proper due diligence before entering into agreements.


8. Investment & Financial Disclaimer

UABC is not a financial institution, investment company, or loan provider.

Any:

  • Investment discussions
  • Funding opportunities
  • Loan considerations
  • Business transactions

conducted between members, investors, financial institutions, or partners are independent arrangements between the involved parties.

UABC shall not be held liable for:

  • Financial losses
  • Failed transactions
  • Investment disputes
  • Loan defaults
  • Partnership disagreements

9. Sponsorship & Promotional Activities

Partners participating in sponsorships, promotions, or events agree that:

  • Promotional materials must align with UABC values and standards
  • UABC reserves the right to reject inappropriate content or promotions
  • Sponsorship benefits are based on agreed partnership packages or written agreements

10. Use of Brand & Intellectual Property

No partner may use:

  • UABC name
  • Logo
  • Branding materials
  • Community identity

without prior written approval from UABC.

Unauthorized representation of UABC is strictly prohibited.


11. Confidentiality

Partners agree to maintain confidentiality regarding:

  • Private business discussions
  • Internal partnership information
  • Member information not publicly disclosed

unless authorized or legally required.


12. Non-Compete & Community Protection

Strategic Members, Corporate Partners, Board Members, Executives, and affiliated stakeholders shall not:

  • Misrepresent UABC
  • Exploit the community for fraudulent purposes
  • Use UABC confidential information for competing interests

Any misconduct that damages the integrity of the community may result in immediate termination.


13. Fees & Payments

Where applicable:

  • Membership fees
  • Sponsorship fees
  • Partnership contributions
  • Service charges

are non-refundable unless otherwise approved in writing by UABC.


14. Events & Participation

Participation in UABC programs, trainings, events, or networking sessions does not guarantee:

  • Business success
  • Financial gain
  • Investment approval
  • Client acquisition

Results depend on individual effort, preparedness, and business structure.


15. Termination of Partnership

UABC reserves the right to suspend or terminate any partnership or membership where:

  • Terms are violated
  • Misconduct occurs
  • Fraudulent activities are identified
  • Actions damage the reputation or operations of UABC

Termination may occur without prior notice where necessary.


16. Amendments

UABC reserves the right to update or modify these Terms and Conditions at any time where necessary for operational, legal, or community development purposes.


17. Governing Principles

All partnerships and collaborations within UABC shall operate based on:

  • Professionalism
  • Integrity
  • Mutual respect
  • Business ethics
  • Community growth and sustainability

By proceeding with registration or partnership engagement, all parties acknowledge that they have read, understood, and agreed to these Terms and Conditions.
